Debt equity swaps as a financial restructuring tool (doctoral thesis)

After years of extensive study and research, Dr. Björn Bronger’s doctoral thesis was published:

“Debt Equity Swaps as a Financial Restructuring Tool”

The conversion of creditor claims into shares in an (insolvent) company – the debt equity swap – is one of the most important instruments in modern restructuring practice.

The thesis provides a practice-oriented overview of how a debt equity swap is implemented under German law and examines the challenges arising from German insolvency law, tax law, capital markets law and other relevant fields – with practical solutions in line with current case law. It also comprehensively compares the German Insolvency Code with Chapter 11 of the US Bankruptcy Code.

Across more than 360 pages, the thesis offers support for practitioners and for legal policy alike, including proposals to reform the current law. It addresses insolvency administrators, lawyers, legal departments, judges and authorities – as well as academia.
